Terms and Conditions

1. Eligibility

You are responsible for all activity under your account. We may suspend or terminate accounts for violations of these Terms.

4. Early Access / Beta Features

Some features may be labeled “Early Access” or “Beta.” These features may be incomplete or contain errors and may change or be discontinued without notice. Feedback you provide may be used to improve the Service without compensation. Your use constitutes consent to process your feedback under our Privacy Policy.

5. Acceptable Use

You agree not to:

• Violate any law or regulation
• Upload malicious code or attempt unauthorized access
• Reverse engineer or copy the platform
• Use the Service to create competing products
• Interfere with system integrity or security
• Misuse generated documents for unlawful purposes

6. User Content

You retain ownership of content you upload (e.g., purchase orders, supplier data, attachments). You grant Headway Solutions Sp. z o.o. a limited, non-exclusive license to host, process, and display such content solely to provide and improve the Service. You represent that you have all necessary rights to upload such content.

7. Intellectual Property

All rights, title, and interest in the Service (excluding user content) remain the exclusive property of Headway Solutions Sp. z o.o.. No rights are granted except as expressly stated.

8. Fees and Payment

Paid features require payment of fees as described on the website. Fees are non-refundable unless required by law. We may change pricing with prior notice. Taxes are your responsibility unless stated otherwise.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect and process personal data in compliance with GDPR, CCPA, and CPRA. By using the Service, you consent to such processing.

10. Confidentiality

You agree not to disclose non-public information about the Service, including pricing, technical details, or roadmap information shared during early access.

The Service may integrate with third-party tools (e.g., accounting software, payment providers). We are not responsible for third-party services and disclaim liability for their use.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, Headway Solutions Sp. z o.o. DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF GENERATED DOCUMENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Headway Solutions Sp. z o.o. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA.
• TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO Headway Solutions Sp. z o.o. IN THE 3 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations; they may not apply.

14. Indemnification

You agree to indemnify and hold harmless Headway Solutions Sp. z o.o. from claims, damages, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, your content, or violation of law or third-party rights.

15. Termination

We may suspend or terminate access at any time for violations or business reasons. Upon termination, your right to access ceases immediately. Sections on intellectual property, disclaimers, liability, and indemnification survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Disputes may be resolved in state or federal courts in Delaware or, where required, through binding arbitration. EU users retain rights under GDPR and local consumer law.

17. Changes to Terms

We may update these Terms. Material changes will be posted with a revised Effective Date. Continued use constitutes acceptance of the revised Terms.

18. Severability

If any provision is found invalid or unenforceable, remaining provisions remain in full force.
